Please read these Terms of Service (“Terms”) carefully before using the website and services operated by EngajarXP Technologies Pvt. Ltd. under the GroXP brand (“GroXP,” “we,” “us,” or “our”).

Your access to and use of the GroXP website and our products, including StorylineXP and ChirpXP (the “Service”), is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Definitions

• “Service” refers to the GroXP website, StorylineXP, ChirpXP, and related applications and services provided by EngajarXP Technologies Pvt. Ltd..
• “User” refers to the individual or entity that visits the website or registers for an account.
• “Content” refers to text, information, images, audio, video, campaigns, referral data, and other material on or submitted through the Service.

2. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.

You are responsible for safeguarding credentials used to access the Service and for all activity under your account. You agree not to share your password with any third party. You must notify us immediately if you become aware of any breach of security or unauthorised use of your account.

3.1 Licence to use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Service for your internal business purposes.

GroXP, StorylineXP, ChirpXP, and related marks may not be used in connection with any product or service without our prior written consent.

5. User content

The Service may allow you to post, store, share, or otherwise make available information, media, campaigns, referral activity, and other material. You are responsible for that Content, including its legality, reliability, and appropriateness.

By posting Content to the Service, you grant us a licence to use, modify, perform, display, reproduce, and distribute that Content as needed to operate and improve the Service. You retain your rights in Content you submit and are responsible for protecting those rights.

You represent and warrant that (i) the Content is yours or you have the right to use it and grant us the licence described here, and (ii) posting the Content does not violate privacy, publicity, copyright, contract, or any other rights of any person.

6. Subscription and payment

Some features of the Service are available on a paid or subscription basis. You agree to pay all fees or charges to your account based on the fees, charges, and billing terms in effect at the time a fee or charge is due.

Payments are non-refundable except as expressly set out in these Terms and our Refund Policy. You must provide current, complete, and accurate billing information. By submitting payment information, you authorise us to charge all applicable fees to that payment method.

We may change prices at any time. If we do, we will provide notice on the site or by email at least 30 days before the change takes effect. If you do not agree, you must cancel your subscription before the change takes effect.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease. If you wish to terminate your account, you may discontinue use of the Service or contact us to request account deletion.

8. Limitation of liability

To the maximum extent permitted by law, EngajarXP Technologies Pvt. Ltd., its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damage.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

10. Governing law

These Terms shall be governed and construed in accordance with the laws of India, without regard to conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be a waiver of those rights. If any provision is held invalid or unenforceable by a court, the remaining provisions will remain in effect.

11. Changes to Terms

We may modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice before new terms take effect. What constitutes a material change is determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree, stop using the Service.
